The terms under which Digivide provides web and app design services to clients.
In these terms:
The scope of each Project is agreed in writing before work begins, typically via a written quote or proposal. Any changes to the agreed scope must be requested in writing and may be subject to additional charges.
Digivide reserves the right to decline any project or request that conflicts with our values or that we do not have the capacity to deliver to our standard.
Written quotes are valid for 30 days from the date of issue. A Project is considered accepted when the Client confirms acceptance of a quote in writing (email is sufficient) and the deposit payment has been received.
Prices shown on our website are indicative. Final pricing is confirmed in a written quote based on the specific requirements of your project.
A non-refundable deposit of 50% of the agreed project fee is required before work begins. This secures your project in our schedule and covers initial design and planning work.
The remaining 50% balance is due upon completion of the project, before final files or website access are transferred to the Client.
Invoices are due within 14 days of issue. Digivide reserves the right to pause work or withhold delivery of final files if payment is overdue. Continued late payment may result in the project being cancelled without refund of the deposit.
We accept bank transfer, PayPal, and card payment. Details will be provided on your invoice.
Each project includes two rounds of revisions at each stage. A revision round is defined as a single consolidated list of feedback submitted in one communication.
Additional revision rounds beyond those included are chargeable at our current hourly rate, which will be communicated before any additional work begins. We encourage clients to consolidate feedback clearly to avoid revision rounds being used up on minor points.
Revisions do not include changes to the agreed scope of work. New features, additional pages, or significant changes to direction will be quoted separately.
To allow us to deliver your project on time and to a high standard, you agree to:
Project delays caused by the Client (e.g. late content, slow feedback) do not entitle the Client to a refund or compensation. Digivide reserves the right to adjust delivery dates accordingly.
Upon receipt of full payment, ownership of the final deliverables (website files, design assets) transfers to the Client. Until full payment is received, all work remains the intellectual property of Digivide.
Digivide retains the right to display completed work in our portfolio, case studies, and marketing materials, unless the Client requests otherwise in writing before the project begins.
Where third-party assets are used (stock images, fonts, plugins, frameworks), the relevant licences apply. Digivide will inform the Client of any licence requirements that may affect ongoing use of the deliverables.
The Client warrants that all content provided to Digivide is owned by the Client or used with permission, and indemnifies Digivide against any third-party claims arising from such content.
Unless a separate ongoing support agreement is in place, Digivide's obligations end upon final delivery and payment. We do not provide free ongoing support, updates, or maintenance beyond the scope of the project.
We are happy to quote for ongoing support, hosting management, or future updates as a separate arrangement.
If the Client cancels a project after work has begun, the deposit is non-refundable. If significant work has been completed beyond the deposit value, Digivide may invoice for work done to date, calculated at our hourly rate.
Digivide reserves the right to cancel a project if the Client fails to meet their obligations, engages in abusive behaviour, or provides content that is unlawful. In such cases, a partial refund may be offered at Digivide's discretion, minus the cost of work completed.
Digivide will deliver work with reasonable skill and care. However, to the fullest extent permitted by law:
Nothing in these terms limits liability for death, personal injury caused by negligence, or fraud.
Digivide will treat all Client information shared during the project as confidential and will not disclose it to third parties without permission, except where required by law. Clients agree to keep any proprietary methods, pricing, or processes shared by Digivide confidential.
These terms are governed by the laws of England and Wales. Any disputes that cannot be resolved informally will be subject to the exclusive jurisdiction of the courts of England and Wales.
We may update these terms from time to time. The current version will always be published on this page. Terms in force at the time a project is agreed will apply to that project.
